Welcome to Niev.

These Terms of Service (“Terms”) govern your access to and use of the Niev website, online store, products, services, and related features (collectively, the “Services”).

Naive View, doing business as Niev (“Niev,” “we,” “us,” or “our”), operates this store and website. Our store is powered by Shopify, which provides the e-commerce platform that allows us to offer our products and services to you.

By accessing or using our Services, placing an order, or otherwise interacting with our website, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, please do not use our website or Services.

SECTION 1 — ACCESS AND ACCOUNT

If you are the parent or legal guardian of a minor who uses our Services, you are responsible for that minor's use of our Services and compliance with these Terms.

We do not guarantee that products will always be available or that product information will always be completely error-free.

When you place an order through our website, you are making an offer to purchase the products in your order.

Niev reserves the right to accept, refuse, or cancel an order for any reason, including product availability, pricing errors, suspected fraud, payment issues, or other circumstances.

Your order is not considered accepted until Niev has processed and accepted the order.

If we change or cancel an order, we will make reasonable efforts to notify you using the contact information provided with your order.

No Returns, Exchanges, or Refunds

Niev is a small, growing business that currently works with third-party production and fulfillment partners to create and deliver our products. Because of the way our current production and fulfillment process operates, Niev is unable to accept returns, exchanges, or refunds at this time.

All purchases are considered final sale, except where a remedy is required by applicable law.

Customers are encouraged to carefully review product descriptions, sizing information, measurements, colors, materials, and other product details before placing an order.

If an item arrives damaged, defective, incorrect, or materially different from what was ordered, please contact Niev at naive1view@gmail.com as soon as possible after delivery.

Please include your order number and, when applicable, photographs or other information that may help us evaluate the issue.

Because Niev works with third-party production and fulfillment partners, any resolution may depend on the circumstances of the order and the policies or capabilities of the applicable partner.

Where appropriate, Niev may work with the applicable third-party partner to seek a replacement or another available resolution.

Nothing in this section limits any rights or remedies that cannot legally be excluded or waived under applicable law.

Products purchased through our website are intended for personal or household use unless otherwise authorized by Niev.

You may not purchase products for unauthorized resale, redistribution, or commercial purposes without our written permission.

SECTION 4 — PRICES AND BILLING

Prices for our products are subject to change without notice.

The price charged for an order will generally be the price displayed at the time the order is placed, unless an error or other applicable circumstance requires correction.

Prices may not include applicable taxes, shipping charges, customs duties, or other fees unless specifically stated.

You agree to provide current, complete, and accurate billing and payment information.

You authorize us and our payment processors to charge your selected payment method for your purchase and any applicable taxes, shipping costs, or other authorized charges.

If your payment information changes, you agree to promptly update it so that we can complete your transactions and contact you when necessary.

SECTION 5 — SHIPPING AND DELIVERY

Niev works with third-party production and fulfillment partners to produce and ship certain products.

Shipping and delivery estimates are provided for convenience and are not guaranteed unless otherwise required by law.

Delivery times may be affected by circumstances outside our reasonable control, including:

  • Carrier delays;

  • Weather;

  • Natural disasters;

  • Production delays;

  • Holidays;

  • Customs processing;

  • Incorrect or incomplete shipping information;

  • Transportation disruptions; and

  • Other circumstances beyond our reasonable control.

You are responsible for providing an accurate shipping address.

Niev is not responsible for delays or delivery failures caused by inaccurate information provided by the customer or circumstances outside our reasonable control.

To the extent permitted by applicable law, risk of loss or damage may pass to the customer when products are delivered to the applicable carrier or shipping destination.

SECTION 6 — INTELLECTUAL PROPERTY

All content associated with Niev, including but not limited to:

  • The Niev name;

  • Niev logos;

  • Designs;

  • Graphics;

  • Product artwork;

  • Photography;

  • Text;

  • Website content;

  • Branding;

  • Trademarks;

  • Trade dress; and

  • Other original materials

is owned by or licensed to Naive View unless otherwise stated.

You may not reproduce, modify, distribute, sell, publish, display, create derivative works from, or otherwise exploit Niev's intellectual property without prior written permission.

Nothing in these Terms grants you ownership of or a license to Niev's intellectual property except as expressly stated.

Shopify names, logos, trademarks, and other intellectual property belong to Shopify or their respective owners.

Third-party names, brands, logos, and trademarks appearing on our website remain the property of their respective owners.

SECTION 7 — OPTIONAL TOOLS

We may provide access to third-party tools or services that we do not control or operate.

These tools may be provided on an “as is” and “as available” basis without warranties, representations, or endorsements from Niev.

Your use of third-party tools may also be subject to the terms and policies of the applicable third-party provider.

Niev is not responsible for issues arising from your use of optional third-party tools to the extent permitted by applicable law.

Any new features, services, or tools added to our store in the future will also be subject to these Terms unless otherwise stated.

Niev's online store is powered by Shopify.

Shopify provides the e-commerce platform that enables us to offer our products and Services to you.

Your purchase of products from Niev is a transaction between you and Naive View, doing business as Niev.

Shopify is not responsible for products sold by Niev, including product quality, fulfillment, returns, refunds, customer service, or other matters relating to your transaction, except to the extent required by applicable law.

Your use of Shopify-powered features may also be subject to Shopify's applicable terms and policies.

Niev is not required to maintain Feedback in confidence, provide compensation for Feedback, or respond to Feedback.

We may remove Feedback that we believe violates these Terms or applicable law.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

From time to time, our website may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping information, or other content.

Niev reserves the right to correct errors, update information, and cancel or modify orders affected by inaccurate information, including after an order has been submitted.

This includes, to the extent permitted by law, losses arising from:

  • Lost profits;

  • Lost revenue;

  • Lost data;

  • Business interruption;

  • Replacement costs; or

  • Other indirect or consequential losses.

To the fullest extent permitted by applicable law, Niev's total liability arising from a particular transaction will not exceed the amount you paid to Niev for the product or service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

SECTION 18 — INDEMNIFICATION

You agree to indemnify and hold harmless Naive View, doing business as Niev, and its owners, employees, contractors, service providers, production partners, fulfillment partners, suppliers, and representatives from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from:

  • Your violation of these Terms;

  • Your violation of applicable law;

  • Your misuse of our Services;

  • Your infringement of another person's rights; or

  • Your unauthorized use of our website, products, or intellectual property.

Niev reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with that defense.

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Niev may assign or transfer these Terms, in whole or in part, as part of a merger, acquisition, restructuring, sale of assets, business transfer, or other lawful transaction.

These Terms of Service and any separate agreements through which Niev provides Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

You and Niev consent to the jurisdiction and venue of the applicable state and federal courts located in Texas, to the extent permitted by applicable law.

Nothing in this section is intended to limit any rights or remedies that cannot legally be waived or restricted under applicable law.

The headings used in these Terms are provided for convenience and do not limit or otherwise affect the meaning or interpretation of any provision.

Niev reserves the right to update, modify, or replace these Terms at any time.

The most current version will be posted on our website with the updated “Last Updated” date.

You are responsible for periodically reviewing these Terms.

Your continued use of our Services after changes are posted constitutes acceptance of the revised Terms to the extent permitted by applicable law.
